CONSTITUTION
OF
AMIGA DOWNUNDER UG INCORPORATED (ADUG)

PART III -
MEMBERSHIP

ORDINARY MEMBERSHIP

  1. (1) Ordinary Membership is open to all persons
    with an interest in the Amiga computer or the
    Amiga Digital Environment (AmigaDE) who:

    (a) (i) reside in Australasia; or

    (ii) were residents of Australasia
    at the time of joining, provided
    that their annual subscriptions
    have not lapsed.

    (2) An Ordinary Member shall be identified by
    a Membership Identifier (Membership ID) as
    defined in clauses 5 (10) and (11) of this
    Constitution.

    (3) An Ordinary Member may comprise up to six
    individuals (namely, the Principal Applicant
    and five others) provided that all the six
    individuals:

    (a) are related;

    (b) live at the same address; and

    (c) share a single email address.

    (4) The Membership ID of a Member shall be the email
    address recorded in the Register of Members of
    ADUG as given by the Principal Applicant on the
    Application for Membership Form.

    (5) The email address used to identify a Member may
    be changed at that Member's request, and the new
    email address shall then replace the old email
    address and be that Member's new Membership ID.

QUALIFICATIONS FOR
ORDINARY MEMBERSHIP

  1. A person is qualified to be an Ordinary Member of ADUG
    if, but only if:

    (1) the person is a person referred to in
    section 15 (1) (a), (b) or (c) of the Act
    and has not ceased to be a Member of ADUG
    at any time after incorporation of ADUG
    under the Act; or

    (2) the person is a natural person who:

    (a) conforms to the conditions specified
    in clauses 8 (1) and (3) of this
    Constitution;

    (b) has access to the Internet;

    (c) has an email address; and

    (d) after making application for Membership
    in the manner specified in clause 10 (1)
    of this Constitution, has:

    (i) paid all dues that are required; and

    (ii) been registered in ADUG's Register
    of Members.

APPLICATION FOR
ORDINARY MEMBERSHIP

  1. (1) An application for Ordinary Membership of ADUG:

    (a) must be made on the prescribed
    Application for Membership Form
    set out in Appendix A to this
    Constitution; and

    (b) lodged with the Secretary, via
    email, by one person, who shall
    be known as the Principal Applicant.

    (2) The Principal Applicant must be at least
    18 years of age.

    (3) Provided the Application for Membership meets all
    the requirements for Membership laid down in this
    Constitution, the Secretary shall, as soon as is
    practicable after receiving the Application, ask
    the Principal Applicant to pay the Membership dues
    payable under this Constitution by a Member as
    entrance fee and annual subscription.

    (4) An applicant's Membership will commence once
    payment of the Membership dues referred to in
    clause 10 (3) of this Constitution has been
    made by the Principal Applicant and receipt
    of that payment has been acknowledged by the
    Secretary.

FEES AND SUBSCRIPTIONS
FOR ORDINARY MEMBERS

  1. (1) The Principal Applicant for Membership of ADUG must,
    prior to being admitted as a Member, pay to ADUG an
    entry fee of $15 Australian (AUS$15) if the Applicant
    resides in Australia or $18 New Zealand (NZ$18) if
    the Applicant resides in New Zealand or, if some other
    amount is determined by the Committee, that other amount.

    (2) In addition to any amount payable by the Principal
    Applicant under clause 11 (1), a Member of ADUG must
    pay to ADUG, prior to being admitted as a Member and
    on or before 1 September each calendar subsequently,
    an annual Membership fee of $10 Australian (AUS$10) if
    the Applicant resides in Australia or $12 New Zealand
    (NZ$12) if the Applicant resides in New Zealand or, if
    some other amount is determined by the Committee, that
    other amount.

REGISTER OF MEMBERS

  1. (1) The Secretary of ADUG must establish and maintain
    a Register of Members of ADUG specifying the name,
    address and Membership ID (and any other details
    as may be appropriate) of each applicant who is an
    Ordinary Member of ADUG, together with the date on
    which the applicant became a Member;

    (2) The Register of Members must be kept at ADUG's
    principal place of administration and must be
    available for inspection, free of charge, by
    any Member of ADUG;

    (3) The Secretary must lodge with the Public Officer
    a copy of the Register of Members, and this must
    be kept up to date.

MEMBERSHIP
ENTITLEMENTS

  1. (1) A Member of ADUG shall have the following rights,
    obligations and privileges and shall be entitled
    to:

    (a) move motions for presentation at General
    Meetings or at meetings of the Committee;

    (b) stand for election to the Committee;

    (c) be elected to subcommittees of ADUG;

    (d) attend ADUG Conferences; and

    (e) any other non-voting rights, obligations,
    privileges and entitlements as provided
    for in the Regulations.

    (2) Provided that each Membership ID shall be entitled
    to one vote, and to one vote only, a Member of ADUG
    shall be entitled to:

    (a) vote at General Meetings of ADUG;

    (b) vote for the members of the Committee;

    (c) vote in referendums conducted by ADUG.

    (3) A right, privilege, obligation or entitlement which
    a person has by reason of being a Member of ADUG:

    (a) is not capable of being transferred
    or transmitted to another person who
    is not included in that Member's
    Membership ID; and

    (b) terminates on the cessation of the
    Membership.

MEMBERS' LIABILITIES

  1. The liability of a Member of ADUG to contribute
    towards the payment of the debts and liabilities
    of ADUG or the costs, charges and expenses of the
    winding up of ADUG is limited to the amount, if any,
    unpaid by the Member in respect of Membership of
    ADUG as required in clause 9 (2) (d) of this
    Constitution.

RESIGNATION OF
MEMBERSHIP

  1. (1) A Member of ADUG is not entitled to resign
    that Membership except in accordance with
    clause 15 (2) of this Constitution.

    (2) A Member of ADUG who has paid all amounts
    payable by the Member to ADUG in respect of
    of a Member's Membership may resign from
    Membership of ADUG by first giving to the
    Secretary notice, via email, of at least
    one month (or such other period as the
    Committee may determine) of the Member's
    intention to resign and, on the expiration
    of the period of notice, the Member ceases
    to be a Member.

    (3) If a Member of ADUG ceases to be a Member
    under clause 15 (2), and in every other
    case where a Member ceases to hold Membership,
    the Secretary must make an appropriate entry
    in the Register of Members recording the date
    on which the Member ceased to be a Member.

CESSATION OF MEMBERSHIP

  1. A person ceases to be a Member of ADUG if
    the person:

    (1) dies;

    (2) resigns Membership;

    (3) is in arrears, by more than 28 days, of
    his or her annual subscription or any other
    sum due and payable as required by this
    Constitution or its Regulations;

    (4) is expelled from ADUG.

RESOLUTION OF
INTERNAL DISPUTES

  1. Disputes between Members (in their capacity as Members)
    of ADUG, and disputes between Members and ADUG, are to
    be referred to a community justice centre for mediation
    in accordance with the Community Justice Centres Act 1983.

DISCIPLINING OF MEMBERS

  1. (1) A complaint may be made by any Member of ADUG
    that some other Member of ADUG:

    (a) has persistently refused or neglected to
    comply with a provision of provisions of
    this Constitution; or

    (b) has persistently and wilfully acted in
    a manner prejudicial to the interest of
    ADUG; or

    (c) has taken part in, or been involved with,
    a prohibited activity specified in the
    Regulations in accordance with clause
    22 (16) of this Constitution.

    (2) On receiving such a complaint, the Committee:

    (a) must cause notice of the complaint
    to be served on the Member concerned; and

    (b) must give the Member at least fourteen
    (14) days from the time the notice is
    served within which to make submissions
    to the Committee in connection with the
    complaint; and

    (c) must take into consideration any
    submissions made by the Member in
    connection with the complaint.

    (3) The Committee may, by resolution, expel the Member
    from ADUG or suspend the Member from Membership of
    ADUG if, after considering the complaint and any
    submissions made in connection with the complaint,
    it is satisfied that the facts alleged in the
    complaint have been proved.

    (4) If the Committee expels or suspends a Member, the
    Secretary must, within seven (7) days after the
    action is taken, cause notice to be given to the
    Member, via email, of the reasons given by the
    Committee for having taken that action and of the
    Member's right of appeal under clause 19 of this
    Constitution.

    (5) The expulsion or suspension of a Member does not
    take effect:

    (a) until the expiration of the period within
    which the Member is entitled to appeal
    against the resolution concerned; or

    (b) if within that period the Member exercises
    the right of appeal, unless and until ADUG
    confirms the resolution under clause 19 (4)
    of this Constitution, whichever is the later.

RIGHT OF APPEAL OF
DISCIPLINED MEMBER

  1. (1) A Member may appeal to ADUG in General Meeting against
    a resolution of the Committee under clause 18 of this
    Constitution, within seven (7) days after notice of the
    resolution is served on the Member, by lodging with the
    Secretary a notice to that effect.

    (2) The notice may, but need not, be accompanied by a
    statement of the grounds on which the Member intends
    to rely for the purposes of the appeal.

    (3) On receipt of a notice from a Member under clause
    19 (1), the Secretary must notify the Committee which
    is to convene a General Meeting of ADUG to be held
    within 28 days after the date on which the Secretary
    received the notice.

    (4) At a General Meeting of ADUG convened under clause
    19 (3):

    (a) no business other than the question of
    the appeal is to be transacted; and

    (b) the Committee and the Member must be given
    the opportunity to state their respective
    cases; and

    (c) the Members participating are to vote on the
    question of whether the resolution should be
    confirmed or revoked by emailing their responses
    to the Secretary and to the Secretary only or,
    if the Member has so elected prior to the General
    Meeting being called, to the Public Officer and
    to the Public Officer only.

    (5) If, at the General Meeting, ADUG passes a Special
    Resolution in favour of the confirmation of the
    resolution, the resolution is confirmed.

AFFILIATE MEMBERSHIP

  1. (1) Subject to the terms and conditions as specified
    in this Constitution and its Regulations, Affiliate
    Membership is open to all Amiga User Groups or
    Amiga-oriented User Groups within Australasia.

    (2) An application to become an Affiliate of ADUG
    must be:

    (a) made on the prescribed Application
    for Affiliation Form set out in
    Appendix B to this Constitution; and

    (b) lodged with the Secretary, via
    email, by the Secretary of the
    User Group seeking affiliation
    with ADUG.

    (3) All applications for Affiliation must be approved
    by the Committee.

    (4) The scale of fees and annual subscriptions paid
    by an Affiliate, as well as the entitlements and
    obligations of an Affiliate, shall be determined
    by the Committee by Regulation.

    (5) An Affiliate shall have no voting rights.
