CONSTITUTION
OF
AMIGA DOWNUNDER UG INCORPORATED (ADUG)

PART I -
PRELIMINARY

NAME

  1. The name of the Association shall be
    "Amiga Downunder UG Incorporated".

STATEMENT OF PURPOSE

  1. Amiga Downunder UG Incorporated is a regionally oriented,
    internet-based association serving a virtual community
    and dedicated to the fostering and advancement of the
    Amiga computer and the Amiga computing platform within
    the geographical region of Australasia, as defined in
    clause 5 (3) of this Constitution, provided that:

    (1) to allow for membership from neighbouring countries:

    (a) the definition of Australasia may be amended,
    on the determination of the Committee, to
    include those countries; and

    (b) the definition of Downunder shall be amended
    accordingly.

PATRON

  1. The President of the AMIGA corporation shall be
    the Patron of Amiga Downunder UG Incorporated.

PUBLIC OFFICER

  1. In accordance with the Associations Incorporation
    Act 1984:

    (1) Amiga Downunder UG Incorporated shall have a
    Public Officer at all times.

    (2) The qualifications required of a person to be
    a Public Officer are:

    (a) to be at least 18 years of age;

    (b) to be a resident of New South Wales;

    (c) to be financially solvent; and

    (d) not a patient, protected, or incapable person
    in terms of the Mental Health Act 1958.

    (3) The Public Officer is appointed by the Committee
    and need not be a member of the Committee or a
    Member of Amiga Downunder UG Incorporated.

    (4) Unless otherwise determined, the person authorised
    to incorporate the unincorporated Association shall
    be the first Public Officer of Amiga Downunder UG
    Incorporated.

DEFINITIONS

  1. In this Constitution and in any Regulations made following
    on from this Constitution:

    (1) "Amiga Downunder UG Inc." means Amiga Downunder UG
    Incorporated

    (2) "ADUG" means Amiga Downunder UG Incorporated

    (3) "Australasia" and "Downunder" shall each mean
    Australia and New Zealand

    (4) "Committee" means the Committee of Management
    of ADUG, as referred to in clause 21 of this
    Constitution

    (5) "Ordinary Committee Member" means a member of
    the Committee, as referred to in clause 25 (1)
    of this Constitution, other than an office-bearer
    of ADUG.

    (6) "Secretary" means:
    (a) the person holding office under this
    Constitution as Secretary of ADUG; or
    (b) if no such person holds that office,
    the Public Officer of ADUG

    (7) "Principal Applicant" means the person who,
    in applying to become an Ordinary Member of
    ADUG, submits the Application for Membership
    Form (Appendix A to this Constitution)

    (8) "Ordinary Member" means a person or group of
    persons who have a single Membership Identifier

    (9) "Membership Identifier" means the email address
    by which the Member is identified, and is the
    email address that is recorded on the Member's
    Application for Membership Form as well as in
    the Register of Members for that Member

    (10) "Membership ID" means Membership Identifier

    (11) "Member" means Ordinary Member

    (12) "Voting Member" means an Ordinary Member
    who, in accordance with this Constitution,
    is eligible to vote

    (13) "Affiliate" means an affiliated User Group

    (14) "Email" means electronic mail

    (15) "IRC" means Internet Relay Chat

    (16) "Amiga Event" means an event such as a show, fair,
    gathering, market or exhibition, in which there is an
    official Amiga presence

    (17) "ADUG-specified website" means a website which
    ADUG has specified that it uses as its official
    website for all news and postings relating to
    ADUG and its activities

    (18) "Regulations" means regulations created according
    to clause DD of this Constitution

    (19) "These Rules" means all parts of this Constitution

    (20) "Special General Meeting" means a General Meeting
    of ADUG other than an Annual General Meeting

    (21) "The Act" means the Associations
    Incorporation Act 1984

    (22) A reference to a function includes a reference
    to a power, authority and duty

    (23) A reference to the exercise of a function
    includes, if the function is a duty,
    a reference to the performance of the duty

    (24) The provisions of the New South Wales
    Interpretation Act of 1987 apply to this
    Constitution as if it were an instrument
    under that Act.
